1. Agreement

These Terms of Use ("Terms") are a binding legal agreement between you and Cozu LLC ("Cozu," "we," "us," or "our"), the maker of the Loci application and the website at lociai.app (together, "Loci"). By downloading, installing, or using Loci, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Loci.

2. Who Can Use Loci

You must be at least 13 years old to use Loci, and old enough to form a binding contract where you live (18 in most U.S. states). If you are between 13 and the age of majority, you may use Loci only with the involvement and consent of a parent or guardian who agrees to these Terms. Loci is not directed to children under 13.

3. Your License to Use Loci

Cozu grants you a personal, limited, non-exclusive, non-transferable, revocable license to use Loci on Apple-branded devices you own or control, in accordance with these Terms and the Apple App Store Usage Rules. You may not copy, modify, reverse engineer, resell, or redistribute Loci except as allowed by law. We reserve all rights not expressly granted.

4. How Loci Works

Loci chat runs on your device after a one-time model download. Optional web search needs an internet connection and only runs when you ask for it or enable it. Some features may change over time as Loci develops.

5. Not Emergency or Professional Advice

Loci is a general-purpose AI tool. It is NOT an emergency service, a safety-critical or life-safety tool, a medical device, and NOT a medical, legal, financial, or other professional service or a substitute for professional judgment.

AI can be wrong. Loci's responses may be inaccurate, incomplete, outdated, or inappropriate for your situation, and may sound confident even when they are wrong. Do not rely on Loci for any urgent, dangerous, medical, legal, financial, or otherwise high-stakes decision. In an emergency, contact your local emergency services (for example, 911 in the U.S.) or a qualified professional. You are solely responsible for verifying information and for any action or decision you take based on Loci.

6. Your Responsibilities

You are responsible for what you ask Loci, how you use its responses, and whether a response is appropriate for your situation. You agree not to use Loci to:

  • break any law or regulation, or infringe anyone's rights;
  • harm, harass, threaten, or endanger others, or generate illegal content;
  • create malware, or bypass, disable, or interfere with any security, safety, or access-control system;
  • misrepresent Loci's output as professional advice to others; or
  • use Loci in any way that could damage, disable, or impair it.

7. Privacy

Your use of Loci is also governed by our Privacy Policy, which explains that Loci is built around on-device processing and does not collect your chats, prompts, files, or personal content.

8. Intellectual Property

Loci, the website, brand assets, name, and related materials are owned by Cozu LLC or its licensors and are protected by intellectual property laws. These Terms do not give you ownership of Loci's software, design, name, or brand. Third-party AI models and open-source components are provided under their own licenses, and your use of them is subject to those licenses.

9. Third-Party Services and Content

Optional features rely on third parties — for example, web-search results from DuckDuckGo and model files from Hugging Face. Those services and their content are provided by third parties, and we are not responsible for their availability, accuracy, or practices. Your use of them may be subject to their terms.

10. Apple App Store

The following applies because you obtained Loci through Apple's App Store. You and we acknowledge that:

  • These Terms are between you and Cozu LLC only, not with Apple, and Apple is not responsible for Loci or its content.
  • Your license to use Loci is limited to a non-transferable license to use Loci on any Apple-branded device you own or control, as permitted by the App Store Usage Rules, except that Loci may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
  • Apple has no obligation to provide any maintenance or support for Loci. Cozu LLC is solely responsible for any maintenance and support we choose to offer.
  • Cozu LLC, not Apple, is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If Loci fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for Loci; to the maximum extent permitted by law, Apple has no other warranty obligation for Loci.
  • Cozu LLC, not Apple, is responsible for addressing any claims by you or a third party relating to Loci or your use of it, including product-liability claims, claims that Loci fails to conform to a legal or regulatory requirement, claims under consumer-protection or privacy law, and claims that Loci infringes a third party's intellectual property rights.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right (and are deemed to have accepted the right) to enforce these Terms against you.

11. Availability

We may update, change, suspend, or discontinue parts of Loci at any time. We try to keep information accurate, but Loci and the website are provided as available and without guarantees.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, LOCI IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LOCI WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL COZU LLC OR ITS OWNERS, MEMBERS, OFFICERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) LOCI, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO LOCI OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR LOCI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Cozu LLC and its owners, members, officers, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of Loci, your violation of these Terms, or your violation of any law or the rights of a third party.

15. Dispute Resolution; Binding Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

Informal resolution first. Before starting arbitration, you agree to contact us through Loci Support and give us 30 days to resolve the dispute informally.

Binding arbitration. If we cannot resolve a dispute informally, you and Cozu agree that any dispute, claim, or controversy arising out of or relating to Loci or these Terms will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be seated in Florida, but may be conducted by phone, video, or written submissions, or in the county where you live where the AAA rules allow. Judgment on the award may be entered in any court with jurisdiction.

Class-action waiver. You and Cozu agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Jury-trial waiver. To the extent any dispute proceeds in court rather than arbitration, you and Cozu each waive any right to a jury trial.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.

30-day opt-out. You may opt out of this arbitration and class-action-waiver section by sending written notice through Loci Support within 30 days of first accepting these Terms. If you opt out, the rest of these Terms still apply.

If any part of this Section 15 is found unenforceable, the remainder will still apply, except that if the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court rather than in arbitration.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 15. To the extent any dispute is not subject to arbitration, you and Cozu agree to the exclusive jurisdiction and venue of the state and federal courts located in Florida.

17. Termination

We may suspend or end your license to use Loci if you materially breach these Terms. You may stop using Loci and delete it at any time. Sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — survive termination.

18. Changes to These Terms

We may update these Terms as Loci changes. The latest version will always be posted on this page with its "Last updated" date. Your continued use of Loci after an update means you accept the revised Terms.

19. General

These Terms and the Privacy Policy are the entire agreement between you and Cozu regarding Loci. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control. You agree to comply with all applicable export-control and sanctions laws.
